Terms of Service

These Terms of Service ("Terms") govern your use of Archergate ("Platform"), operated by Archergate ("we", "us"). By creating an account or using the Platform, you agree to these Terms.

1. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials. One person or entity per account. Accounts are non-transferable.

Account types: Producer (buyer), Developer (seller), Studio (team). Your account type determines your available features.

2. Marketplace

Archergate is a marketplace connecting software developers with buyers. We are not the seller of products listed on the marketplace. Developers are solely responsible for their products, descriptions, and support.

We review products before listing, but this review does not constitute a warranty. We verify that products appear legitimate and functional based on submitted demos, but we cannot guarantee fitness for your specific use case.

3. Purchases and Payments

• All payments are processed through Stripe. We do not store your payment information.
• Prices are set by developers and displayed in USD unless otherwise stated.
• Upon purchase, you receive a machine-bound license key delivered via email and on-screen.
• Archergate charges a 5% platform fee per transaction. Stripe processing fees apply separately.

4. License Keys and Downloads

• License keys are bound to your account and may be activated on a limited number of machines (set by the developer, default 3).
• Downloads are gated behind license verification. You must have a valid, active license key to download.
• Sharing, reselling, or distributing license keys is prohibited.
• We may revoke license keys in cases of fraud, chargebacks, or Terms violations.

5. Refunds and Disputes

• 14-day dispute window: Buyers may open a dispute within 14 days of purchase if the product is not as described, non-functional, or otherwise defective.
• Developers have 72 hours to respond to a dispute with evidence.
• Archergate reviews disputes and may: issue a full refund, side with the seller, or suspend the product.
• If a product accumulates 3+ resolved disputes in the buyer's favor, it is automatically delisted for re-review.
• Chargebacks through your bank will result in immediate license revocation. We encourage using our dispute system first.

6. Developer Responsibilities

• Products must be accurately described. Misleading listings will be removed.
• Developers must provide a working demo (audio for audio plugins, video for all others) before products can be listed.
• Products undergo review before appearing on the marketplace. Approval can be revoked.
• Developers must not upload malware, spyware, or any software designed to harm users.
• Developers are responsible for providing customer support for their products.

7. Prohibited Conduct

• Creating fake accounts, fake reviews, or manipulating the platform.
• Circumventing license protection, DRM, or machine binding.
• Reverse-engineering the Archergate SDK or validation system.
• Abusing the dispute system to obtain free software.
• Scraping, automated access, or API abuse beyond documented limits.

8. Intellectual Property

Developers retain all rights to their software. Archergate retains rights to the platform, SDK, and branding. By listing a product, developers grant Archergate a license to display product information and promotional materials on the platform.

9. Limitation of Liability

Archergate is provided "as is" without warranty. We are not liable for losses arising from: product defects, developer conduct, license server downtime, or Stripe processing issues. Our total liability is limited to the platform fees collected on your transactions in the preceding 12 months.

10. Termination

We may suspend or terminate accounts that violate these Terms. Developers whose products are suspended may appeal via hello@archergate.io. Existing valid license keys survive account termination.

11. Changes

We may update these Terms. Material changes will be communicated via email or platform notification 30 days in advance. Continued use after changes take effect constitutes acceptance.
